CLEAR ADMIT LLC ADMISSIONS CONSULTING SERVICES AGREEMENT

IMPORTANT - PLEASE READ CAREFULLY: YOU SHOULD READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY. THIS ADMISSIONS CONSULTING SERVICES AGREEMENT (THE "AGREEMENT") IS A LEGALLY BINDING AGREEMENT BETWEEN YOU (THE "CLIENT") AND CLEAR ADMIT LLC ("CLEAR ADMIT") GOVERNING YOUR PURCHASE OF CERTAIN ADMISSIONS CONSULTING SERVICES FROM CLEAR ADMIT. BY CLICKING "I ACCEPT" YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.

1. Services. Clear Admit shall perform for the Client those services outlined in Exhibit A attached hereto in connection with the delivery of the Fixed Price Admissions Packages selected and paid for by the Client (the "Services"). The Client acknowledges and agrees that he or she may be responsible for developing or providing documentation, materials and assistance to Clear Admit in connection with the provision of the Services, and the Client agrees to do so in a prompt and timely manner.

2. Fees. The Client shall pay to Clear Admit the following fees for the Fixed Price Admissions Packages selected by the Client (the "Fees"). The Fees must be paid in full in advance of the provision of any Services. The Fees are non-refundable.

3. Client Obligations. Clear Admit offers a three business day turnaround time with respect to feedback on Client materials as part of the Fixed Price Admissions Packages. Clear Admit also offers a one business day turnaround time on feedback on Client materials, subject to availability, for an additional fee. Telephone sessions with counselors must be scheduled in advance, subject to the counselor's availability. Clear Admit targets responding to brief email correspondence within one business day.

4. Client Representations and Warranties. The Client represents that he or she is an applicant in good faith for admission to an MBA program and is using the Services solely for such purpose. The Client represents and warrants that all work product submitted to Clear Admit will be his or her own original work product and not the work product of any other person, and that such work product will not violate the rights of any third party.

5. Disclaimer of Warranties; Limitation of Liability. The Services are provided "as is" without representation, warranty or condition of any kind. To the fullest extent of applicable law, Clear Admit disclaims all warranties and conditions, express, implied, statutory or otherwise, including, but not limited to, implied warranties and conditions of merchantability and fitness for a particular purpose. In particular, but without limiting the generality of the foregoing, Clear Admit makes no representations or warranties with respect to (a) the likelihood of the Client's success in obtaining admission to an program, (b) whether the Services will enhance or detract from the strength of the Client's application, or (c) any guarantee that the Client will obtain admission to any program. Accordingly, the Client agrees that Clear Admit shall not in any way be liable for the Client's failure to achieve admission to any program. The Client further agrees to indemnify, defend and hold Clear Admit harmless from and against any losses, claims, damages, liabilities, costs and expenses, including reasonable legal fees and disbursements, stemming from third party claims arising out of or resulting from the Client's acts or omissions in connection with this Agreement, the delivery of the Services, or the admissions process.

Notwithstanding anything to the contrary contained in this Agreement, Clear Admit shall not be liable for any indirect, incidental or consequential damages arising out of the use or inability to use any of the Services even if Clear Admit has been advised of the possibility of such damages or such damages are reasonably foreseeable. In any event, the liability of Clear Admit, whether for negligence, breach of contract, breach of warranty, or otherwise, shall in the aggregate under this Agreement, not exceed the amounts paid by the Client to Clear Admit for the Fixed Price Admissions package purchased by the Client.

The Client acknowledges that the disclaimers and limitations of liability set forth in this Section 5 are an essential element of this Agreement between the parties and that Clear Admit would not have entered into this Agreement without such disclaimers and limitations of liability.

6. Confidentiality. Clear Admit shall not provide any of the Client's confidential information to a third party under any circumstances, or disclose that a Client is a client of Clear Admit, in either event other than as requested by the Client or as required by law.

7. Termination. Clear Admit reserves the right to terminate the provision of the Services at any time and for any reason upon written notice to the Client. In the event that Clear Admit terminates the provision of the Services, the Client's sole and exclusive remedy shall be a refund of a pro-rata portion of Fees paid for the Services as determined by Clear Admit in its sole but reasonable discretion.

8. General Provisions. This Agreement constitutes the entire agreement between the parties, merges all prior and contemporaneous communications and supersedes any prior written agreement with respect to the subject matter hereof. This Agreement shall not be modified except by later written agreement signed by both parties. If any provision of this Agreement proves to be or becomes invalid or unenforceable under any applicable law, then such provision shall be deemed modified to the extent necessary in order to render such provision valid and enforceable; if such provision may not be so saved, it shall be severed and the remainder of this Agreement shall remain in full force and effect. The headings of sections and paragraphs herein are included for convenience of reference only and shall not control the meaning or interpretation of any of the provisions of this Agreement. The rights and obligations of the Client hereunder are not assignable without the prior written consent of Clear Admit. The Client agrees that all controversies, claims or disputes regarding this Agreement shall be resolved solely and exclusively by the federal or state courts located in Philadelphia, Pennsylvania, and the parties hereby submit to the jurisdiction of such courts. In the event of litigation relating to the subject matter of this Agreement, the non-prevailing party shall reimburse the prevailing party for all reasonable legal fees and costs incurred by the prevailing party in such litigation.

EXHIBIT A

CLEAR ADMIT SERVICES

(a) Profile assessment - The Client completes a questionnaire and based on the Client's input, Clear Admit provides an assessment letter to help the Client determine his/her MBA admissions positioning strategy. During this assessment process, Clear Admit seeks to ensure that the Client develops a plan for success so that the Client can answer application questions about career history, future goals and desire for an MBA. Clear Admit also works with the Client to target the schools that best fit Client's needs. Clear Admit will provide one profile assessment at the beginning of the consulting engagement regardless of the number of schools in the Fixed Price Admissions Package.

(b) Resume review - Once Clear Admit receives the Client's resume draft, Clear Admit provides strategic feedback and line by line edits so that the Client can revise the resume efficiently. Clear Admit will provide feedback on up to two rounds of resume reviews regardless of the number of schools in the Fixed Price Admissions Package.

(c) Brainstorming essay topics - Before the Client begins the essay drafting process, the Client and Clear Admit conduct a phone call to discuss how to approach the essay topics. From this conversation, Clear Admit seeks to provide the Client with a solid understanding of how to approach each essay question while conveying the Client's overall admissions message. Clear Admit will provide up to one hour of brainstorming essay topics for each school in the Fixed Price Admissions Package.

(d) Essay reviews - Once the Client has completed essay drafts, Clear Admit reviews the essays and provides feedback on grammar and content to ensure that responses are engaging and supportive of the Client's positioning strategy. All feedback is provided using the MS Word 'track changes' and 'comments' features. Clear Admit applies its experience reading applications as admissions officers and working as professional writers and editors to determine which type of essay approach will resonate with the schools targeted by the Client. Clear Admit will provide feedback on up to three rounds of essay drafts for each school in the Fixed Price Admissions Package.

(e) Recommendation letter strategy and review - Clear Admit helps the Client select recommenders and manage the recommendation process to ensure that references are supporting and adding relevant third-party details to the Client's candidacy. Clear Admit will provide up to two rounds of feedback on recommendation letter drafts for each school in the Fixed Price Admissions Package.

(f) Data Form review - Application data forms are the place for applicants to include expanded employment listings, extracurricular activities, awards, honors, hobbies and other relevant information. Clear Admit reviews the Client's data form answers to ensure that they are consistent with the balance of the Client's application. Clear Admit will provide one data form review for each school in the Fixed Price Admissions Package.

(g) Interview preparation for school - Clear Admit works with the Client to develop the Client's interview skills. Clear Admit offers a 30-minute interview strategy session tailored to the selected school, followed by a one-hour mock interview session in which Clear Admit tests the Client's interview preparation under realistic conditions.

(h) Post Acceptance - When the Client receives admissions decisions, Clear Admit advises the Client on school selection. If the Client is waitlisted at a school, Clear Admit assists with improving the Client's chances of getting accepted from the waitlist.
